HOW TO ENTER: Sweepstakes begins at 12:00:01 AM Eastern Daylight Savings Time (“EDT”) on November 1, 2009 and ends at 11:59:59 PM Eastern Standard Time (“EST”) on December 31, 2009.  To enter, visit www.blackswanwine.com, click on the “Black Swan Spread Your Wings and Experience KÀ Sweepstakes” banner and follow the on-screen instructions by filling in the required information on the Official Entry Form and submit the form as directed.  Entrants will be required to provide their complete name, address, day and evening telephone numbers, date of birth, and e-mail address and the answers to up to six (6) survey questions.  Limit one (1) entry per person, per household, or per valid e-mail address.  Multiple or duplicate entries will be disqualified.  Entries are the property of the Sponsor and will not be acknowledged or returned.  Sponsor is not responsible for entries that are lost, late, and/or incomplete due to computer or electronic malfunction or other error. ALL ENTRIES MUST BE RECEIVED BY 11:59:59 PM EST ON DECEMBER 31, 2009.

SELECTION OF WINNERS/RANDOM DRAWING: Potential Prize Winners will be selected in a random drawing from among all eligible entries received.  The random drawing will be conducted on or about January 15, 2010 by Centra Marketing & Communications, an independent judging organization.  Odds of winning depend on the number of eligible entries received for the drawing. Sweepstakes entrants agree to be bound by the terms of these Official Rules and by the decisions of the judges, which are final and binding on all matters pertaining to this Sweepstakes. PRIZES AND THEIR APPROXIMATE RETAIL VALUE (“ARV”) THREE (3) GRAND PRIZES Each Grand Prize is a trip for Grand Prize Winner and one (1) traveling companion (“Guest”) to Las Vegas, NV consisting of  round-trip coach class air transportation from the major commercial airport nearest Grand Prize Winner’s permanent residence to Las Vegas, NV for Grand Prize Winner and Guest, three (3) nights hotel accommodations (one standard double occupancy room accommodations and taxes only) at the an MGM property in Las Vegas, NV designated by Sponsor, two (2) tickets to KÀ by Cirque du Soleil Show at the MGM Grand in Las Vegas, NV, round-trip ground transportation between the airport and hotel in Las Vegas, NV for Grand Prize Winner and Guest, and one (1) five-hundred dollar ($500) allowance in the form of a check made payable to the Grand Prize Winner for meals. ARV of each Grand Prize: $3,850; and TWENTY-FIVE (25) FIRST PRIZES: Each First Prize consists of one (1) KÀ by Cirque du Soleil Show Soundtrack CD. ARV of each First Prize: $19. Total approximate retail of all Prizes: $12,025. Prize Winners are solely responsible for all federal, state, and local taxes on prizes. Grand Prize Winners are solely responsible for any and all expenses and incidental travel costs not expressly stated in the prize description herein, including but not limited to ground transfers between Grand Prize Winner’s residence and airport of departure, ground transportation while in Las Vegas, NV not stated herein, in-room charges (e.g., mini-bar, room service, telephone, movies), meals and beverages not stated herein, gratuities, travel upgrades and personal incidentals. Each Grand Prize Winner will be required to provide a valid major credit card upon hotel check and all in-room charges, telephone calls, meals, beverages, hotel upgrades, amenities, personal incidentals and any other expenses charged to the Grand Prize Winner’s hotel room will be charged to the Grand Prize Winner’s major valid credit card provided. No substitution, assignment, redemption for cash, or transfer of any prize permitted except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize or portion thereof is unavailable at time of prize award. Each Grand Prize Winner will be required to supply Sponsor with his/her social security number for tax purposes. ARV of each Grand Prize may vary based on the commercial airport nearest Grand Prize Winner’s permanent residence, as well hotel fluctuations at the time of travel. Any difference between stated ARV and actual value will not be awarded. Airline tickets are subject to terms and conditions stated on such tickets and various additional material restrictions may apply. Each Grand Prize Winner and Guest must travel on the same itinerary. Trip must be booked at least twenty-one (21) days prior to departure and is subject to terms and condition set forth in these Official Rules and those set forth by selected travel providers, availability and blackout dates and other material restrictions may apply. Sponsor is not responsible for any fees or additional charges resulting from a Grand Prize Winner or Guest change(s) to itinerary or accommodations. In the event a scheduled and ticketed KÀ by Cirque du Soleil Show is cancelled prior to a trip or during a Grand Prize Winner’s trip for any reason, that portion of the Prize will not be awarded and Sponsor will not provide any compensation or substitution for that portion of the Prize. Each Grand Prize Winner’s Guest must be at least 21 years of age at the time of travel. Grand Prize Winner and his/her Guest will be solely responsible for obtaining valid U.S. government photo identification prior to travel and the associated costs for these requirements. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Sponsor shall not be liable for any loss or damage to baggage. If a Grand Prize Winner becomes disabled or cannot otherwise fully enjoy the Prize due to illness, Sponsor shall have the option at its sole discretion of being relieved of liability for fulfillment of the prize award and no other compensation in lieu of the Grand Prize will be awarded. Each Grand Prize Winner is responsible for obtaining his/her own medical and life insurance and the associated costs. All travel is subject to any and all restrictions instituted by the Department of Defense and/or Department of Homeland Security, as required. All travel must be completed by December 31, 2010.

CLAIMING PRIZES/RELEASES: Eligibility, age and prize claim by a Prize Winner is subject to verification. Each Prize Winner will be notified by First Class Mail on or about January 29, 2010. Sponsor is not responsible for fraudulent calls or E-mails made to entrants not by Sponsor. Each potential Grand Prize Winner must sign before a notary and return an Affidavit of Eligibility/Prize Acceptance/Liability and (where legally permissible) a Publicity Release Form within ten (10) business days of receipt. Each potential First Prize Winner must sign a Prize Verification/Liability and (where legally permissible) a Publicity Release Form within ten (10) business days of receipt. Non-compliance may result in disqualification. If a Prize Winner is (i) disqualified; (ii) ineligible; (iii) declines the prize; or (iv) notification is returned as undeliverable, that prize may be forfeited and awarded to an alternate Prize Winner in a random drawing from among all remaining eligible entries, provided sufficient time remains.

INTERNET: If for any reason this Sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes.  Use of bots or other automated process to enter is prohibited and may result in disqualification at the sole discretion of Sponsor. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes or downloading any materials in this Sweepstakes.  Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.  CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. GENERAL: By entering this Sweepstakes, entrants and Prize Winners: (1) agree to be bound by these Official Rules; (2) agree to release Sponsor, its alcoholic beverage distributors, and retailers, affiliates, subsidiaries, advertising and promotion fulfillment, judging agencies, and all related entities from all liability, claims, actions, or proceedings relating to the Sweepstakes or to injuries or damages relating to acceptance or use of a prize; (3) agree to share customer information contained in their entry with Sponsor and the Sweepstakes administrator and judging agency (Centra Marketing & Communications, LLC); and (4) consent to the use of their names, voices, pictures and likenesses for advertising and promotional purposes in any medium throughout the world in perpetuity without additional compensation unless prohibited by law.
